1. Acceptance of Terms
1.1. By accessing and using the Calileo social platform (the “Platform”), you accept and agree to be bound by the terms and provisions of this agreement.
2. Changes of Terms
2.1. Calileo reserves the right, in its sole discretion, to modify or revise these Terms at any time, and you agree to be bound by such modifications or revisions. Any changes will be effective immediately upon posting to the Platform and your continued use of the Platform after such posting shall constitute acceptance of the modification.
3. Using Calileo
3.1. You must follow any guidelines or policies associated with the Platform. You should not misuse or interfere with the Platform or try to access it using a method other than the interface and the instructions that we provide.
3.2. While Calileo is a decentralized platform and operates on a network of computers rather than a single server, there may be times of high network congestion which could result in slower transaction speeds or higher network transaction fees.
4. Privacy
4.1. By using Calileo, you agree to our Privacy Policy, which is incorporated into these Terms. You agree that Calileo may use and maintain some of your data according to its Privacy Policy.
5. Your Content
5.1. You retain all ownership rights in your content, but you are required to grant Calileo and other users of the Platform a non-exclusive license to use, copy, distribute, and display your content.
6. Your Commitments
6.1. To ensure that Calileo remains safe for everyone, you agree to the following commitments:
- You must be at least 13 years old or the minimum legal age in your country to use Calileo.
- You will not post content that is hate speech, threatening, pornographic, incites violence, or contains nudity or graphic violence. Calileo reserves the right to auto-moderate these kinds of content until a better solution is provided.
- You will not use Calileo to do anything unlawful, misleading, malicious, or discriminatory.
7. Intellectual Property Rights
7.1. You acknowledge that Calileo owns a fair share of right, title, and interest in and to the Platform, including all intellectual property rights.
7.2. You understand that Calileo dedicates its time to gradually developing features that provide more Intellectual Property rights to its users on their content.
8. Disclaimer
8.1. Calileo is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
9.1. To the maximum extent permitted by law, Calileo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (A) your access to, use of, inability to access, or inability to use Calileo; (B) any third party conduct or content on Calileo, including any defamatory, offensive, or illegal conduct of third parties; or (C) any unauthorized access, use, or alteration of your content.
10. Indemnification
10.1. You agree to indemnify, defend, and hold harmless Calileo, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Platform.
11. Governing Law & Jurisdiction
11.1. These Terms are governed by the law of Scotland, and brought more ‘generic’ for international users. All claims arising out of or relating to these Terms or the Services will be litigated exclusively in the federal or state courts of Scotland, and you and Calileo consent to personal jurisdiction in those courts.
